TERMS OF SERVICE

1. Service Description

PosterGen is an online design tool for making battle posters — the “X vs Y” graphics creators use to promote live TikTok battles and similar events. Our service includes:

• A poster builder with backgrounds, VS badges, fonts and layout controls
• High-resolution poster generation and export as an image file
• Storage of the posters you create, in your account
• Network (agency) accounts, where a network uploads its own artwork, places the fields on it, and invites creators to make posters from it
• Starter templates we supply to every network account

PosterGen composites the images and text you supply onto a template. It does not generate artwork, remove backgrounds, or otherwise alter your images beyond resizing, cropping and placing them.

2. User Accounts

2.1 Account Creation

To use PosterGen, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Ensuring your account information remains current and accurate

2.2 Account Security

You must not share your account with others. We are not liable for any loss or damage arising from your failure to maintain account security.

2.3 Account Termination

You may terminate your account at any time through your account settings. We reserve the right to suspend or terminate accounts that violate these terms or engage in fraudulent activity.

3. Credits and Network Subscriptions

There are two ways to pay for PosterGen. Creating an account is free; you only pay when you export a poster, or when you run a network.

3.1 Poster Credits (pay as you go)

Poster credits are bought up front and spent one at a time. A credit is charged when you export a finished poster — editing and previewing cost nothing. Credits are sold in packs of 1, 5, 10 and 20 at £1.00 + VAT per poster, with the larger packs discounted; the current prices are shown on our pricing page.

• Credits do not expire and there is no monthly fee
• Credits are personal to your account and cannot be transferred or exchanged for cash
• A credit is spent at the point of export, whether or not you go on to use the poster

3.2 Network Subscriptions

A network (agency) account is a recurring monthly subscription that covers every creator in that network, billed to the network rather than to individual creators. Two plans are offered:

• Standard: a monthly allowance of posters shared across the whole network, with a per-poster charge for anything beyond it
• Unlimited: no monthly poster cap

Both plans include unlimited creators and three template slots for the network’s own artwork. Current prices, allowances and overage rates are shown on our pricing page and in the network’s billing screen. Network prices are quoted with VAT included; poster credits are quoted excluding VAT.

Monthly allowances reset on the subscription renewal date. Unused posters do not roll over.

3.3 Extra Template Slots

A network may buy additional template slots as a recurring monthly add-on to its subscription. Adding or removing slots takes effect immediately and is charged pro rata: adding mid-month is invoiced for the remainder of that period, and removing a slot credits the unused part against the next invoice. Removing a slot requires the network to have archived or deleted enough templates to fit within the reduced number first.

3.4 Starter Templates

We supply a set of finished battle templates to every network account at no charge, alongside the network’s own artwork. They work differently to a network’s own templates in three ways:

• Posters made from a starter template use none of the network’s monthly allowance, and starter templates use none of its template slots
• Every poster made from one carries the PosterGen.co.uk mark — a repeating pattern across the poster plus a badge in the corner. That mark is the consideration for artwork the network did not pay for or design, and removing, cropping out, painting out or otherwise defeating it is a breach of these terms
• The mark can be removed properly, by subscription: the watermark-removal add-on is £19.99 per month including VAT, added to the network’s existing subscription and charged pro rata. It applies to posters made while it is active — it does not remove the mark from posters already made, and cancelling it does not add a mark to them. Starter posters remain free of the monthly allowance either way
• They are ours, not the network’s: they cannot be renamed, re-mapped, exported, archived or deleted, and the licence in section 7.2 covers them only as part of a finished poster

Starter templates are a feature of an active network subscription. If a subscription is pending, lapsed, cancelled or past its paid period, access to them ends with the rest of the network’s creation rights. Posters already made from them are unaffected and remain downloadable. We may add, change or withdraw starter templates at any time.

3.5 Plan Changes

A network may move between plans at any time. Changes are handled by our payment processor and prorated against the current billing period. Cancelling a network subscription ends it at the close of the period already paid for; after that the network becomes read-only — existing posters remain available to download, but no new ones can be made.

4. Payment Terms

4.1 Billing

Poster credits are charged once, at the point of purchase. Network subscriptions and template slots are billed in advance, monthly. All fees are in British Pounds (GBP). Payments are taken by Stripe; we do not see or store your card details. You authorise us to charge your payment method on file for all fees you incur.

4.2 Automatic Renewal

Network subscriptions and template slots renew automatically each month until cancelled, and we will charge the payment method on file for the renewal amount. Poster credits are a one-off purchase and never renew.

4.3 Failed Payments

If we cannot process your payment, we will attempt to contact you and retry the payment. Continued payment failures may result in service suspension or account termination.

4.4 Price Changes

We reserve the right to change our pricing. We will provide at least 30 days' notice of any price increases. Continued use of the service after a price change constitutes acceptance of the new price.

5. Refund Policy

5.1 Your Statutory Cancellation Right

Under the Consumer Contracts Regulations 2013, consumers may cancel a purchase of unused poster credits within 14 days and receive a full refund. Exporting a poster uses the credit immediately: by doing so within the 14 days you are asking us to start supplying the digital content straight away and you lose the right to withdraw from that particular credit. Unused credits from the same purchase are unaffected.

5.2 Subscriptions and Partial Periods

We do not refund part-months on a network subscription or unused monthly allowance. If you cancel, the network keeps full access until the end of the period already paid for. Nothing in this section limits your statutory rights.

5.3 Refund Process

To request a refund, contact us at support@postergen.co.uk. Approved refunds are processed within 5–10 business days to your original payment method. Our full Refund Policy sets out the detail.

6. Intellectual Property

6.1 Our Intellectual Property

All content on PosterGen, including but not limited to text, graphics, logos, icons, images, software, and design templates, is the property of TekSpert LTD or our licensors and is protected by copyright, trademark, and other intellectual property laws.

6.2 License to Use

We grant you a limited, non-exclusive, non-transferable license to access and use PosterGen for your personal or commercial purposes in accordance with these terms. You may not:

• Copy, modify, or distribute our platform or content
• Reverse engineer or decompile our software
• Remove or alter copyright notices
• Use our service to create competing products
• Scrape or extract data from our platform

6.3 Trademarks

"PosterGen" and our logo are trademarks of TekSpert LTD. You may not use these marks without our prior written permission.

7. User Content and Ownership

7.1 Your Content

You retain all ownership rights to images and content you upload to PosterGen ("User Content"). By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display your content solely for the purpose of providing our services.

7.2 Posters You Create

You own the posters you create using PosterGen. However, posters may include design elements — backgrounds, VS badges, fonts and our starter templates — that remain our intellectual property or that of our licensors. Those elements are licensed to you as part of a finished poster; they are not licensed for reuse on their own. You have the right to:

• Download and use posters for any legal purpose
• Print, distribute, and display your posters
• Use posters commercially for promoting events
• Share posters on social media and other platforms

7.3 Content Restrictions

You agree not to upload content that:

• Violates copyright, trademark, or other intellectual property rights
• Contains illegal, harmful, or offensive material
• Includes personal information of others without consent
• Promotes violence, hatred, or discrimination
• Contains malware or malicious code

7.4 Content Monitoring

We reserve the right to review and remove User Content that violates these terms, without notice. We are not obligated to monitor content but may do so to ensure compliance.

7.5 Network Accounts

If you join a network, the network is the customer and you are working inside its account. That has consequences you should understand before accepting an invitation:

• The network’s owners and admins can see every poster made in the network, including yours, and can delete them
• Posters you make in a network count against that network’s monthly allowance and are billed to it, not to you
• Artwork a network uploads is the network’s own; it stays with the network, not with the creators who use it
• An owner or admin can suspend or remove your membership at any time, which ends your access to that network’s templates
• If the network’s subscription lapses or is cancelled, the network becomes read-only and no new posters can be made in it

A network owner confirms, by uploading artwork, that they hold the rights to it and to every image and font in it, and that they may use it for this purpose.

8. Prohibited Uses

You agree not to use PosterGen for:

• Any unlawful purpose or in violation of any applicable laws
• Transmitting spam, phishing, or fraudulent content
• Impersonating others or misrepresenting your affiliation
• Interfering with or disrupting our services or servers
• Attempting to gain unauthorized access to our systems
• Collecting user information without consent
• Creating competing products or services
• Reselling or redistributing our service without permission

9. Service Availability

9.1 Uptime

We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. We may temporarily suspend service for maintenance, updates, or emergency repairs.

9.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of our service at any time with reasonable notice. We are not liable for any modification, suspension, or discontinuation.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We disclaim all warranties, including but not limited to:

• Merchantability and fitness for a particular purpose
• Non-infringement of third-party rights
• Accuracy, reliability, or completeness of content
• Uninterrupted, secure, or error-free service
• Results obtained from using the service

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEKSPERT LTD SHALL NOT BE LIABLE FOR:

• Indirect, incidental, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions or data loss
• Unauthorized access to your account or data
• Third-party actions or content

Our total liability for all claims related to the service shall not exceed the amount you paid us in the 12 months preceding the claim, or £100, whichever is greater.

12. Indemnification

You agree to indemnify, defend, and hold harmless TekSpert LTD, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of PosterGen
• Your User Content
• Your violation of these terms
• Your violation of third-party rights
• Your violation of applicable laws

13. Data Protection and Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these terms by reference. By using PosterGen, you consent to our privacy practices.

14. Termination

14.1 Termination by You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.

14.2 Termination by Us

We may suspend or terminate your account immediately if:

• You violate these terms
• You engage in fraudulent or illegal activity
• Your account poses a security risk
• You fail to pay fees owed

14.3 Effect of Termination

Upon termination, your access to PosterGen will cease. We keep your posters for at least 30 days afterwards, and during that window you can ask us at support@postergen.co.uk for a copy of them and of the personal data we hold. After that period we may delete them. Termination does not relieve you of payment obligations incurred before termination.

15. Dispute Resolution

15.1 Informal Resolution

If you have a dispute with us, please contact us first at support@postergen.co.uk to attempt informal resolution.

15.2 Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the London Court of International Arbitration (LCIA).

16. Governing Law

These terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any legal action or proceeding shall be brought exclusively in the courts of England and Wales.

17. Changes to Terms

We may update these terms from time to time. We will notify you of material changes by email or through the service. Your continued use of PosterGen after changes take effect constitutes acceptance of the new terms. We recommend reviewing these terms periodically.

18. General Provisions

18.1 Entire Agreement

These terms, together with our Privacy Policy, constitute the entire agreement between you and TekSpert LTD regarding PosterGen.

18.2 Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

18.3 Waiver

Our failure to enforce any right or provision of these terms shall not constitute a waiver of that right or provision.

18.4 Assignment

You may not assign or transfer these terms or your account without our written consent. We may assign our rights and obligations without restriction.

18.5 Force Majeure

We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, or internet outages.
